Terms of Service

These Terms of Service ("Terms") govern your access to and use of Vokals, the AI vocal generation studio available at https://www.vokals.studio (the "Service"). The Service is operated by Doubtful Sound BV, a private limited company (besloten vennootschap) with registered office at Het Schoemeken 1, 2970 Schilde, Belgium ("Vokals", "we", "us").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you are a consumer residing in the European Union, nothing in these Terms limits any mandatory consumer rights you have under the law of your country of residence.

1. Definitions

  • "Uploads" — content you provide to the Service, including instrumentals, lyrics, text prompts, style settings, and reference material.
  • "Outputs" — audio generated by the Service based on your Uploads and settings, including vocal takes, stems, and section replacements.
  • "Credits" — the internal units used to pay for actions within the Service (e.g. generation, section replacement, Vokaliser).
  • "Subscription" — a paid recurring plan granting a monthly Credit allowance and the rights described in these Terms.
  • "Credit Pack" — a one-time purchase of Credits valid for a stated period.
  • "Trial" — the free trial tier described in Section 4.

2. Eligibility and your account

You must be at least 18 years old, or the age of digital consent in your country, to use the Service. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us promptly at support@vokals.studio if you suspect unauthorized use.

You may use the Service as a consumer or in the course of your business. Some provisions below apply only to consumers, as indicated.

3. The Service

Vokals lets you generate original AI vocals on your own instrumental (VokalCore), generate vocals from scratch (Vokaliser), separate vocal and instrumental stems, replace individual sections, and download results for use in your own productions.

The Service is a creative tool. It does not replace human vocalists, and we make no promise that any Output will be suitable for a particular artistic or commercial purpose. AI generation is inherently variable: two generations from the same settings may differ, and we do not guarantee that any Output is unique or that similar output will not be generated for other users (see Section 9).

Beta status. The Service is currently offered in beta. Features are still being developed and improved, and errors may occur — including failed or defective generations, temporary unavailability, and Outputs that do not meet expectations, including Outputs that turn out to be less original than expected or that resemble existing recordings or other users' outputs (see Section 8, "Similarity"). By using the Service during the beta phase, you accept that it is provided on this basis.

Credit refund as remedy. Where a generation fails or is materially defective due to a technical error of the Service, the Credits spent on that action are automatically refunded to your account. To the maximum extent permitted by applicable law, this Credit refund is your sole and exclusive remedy for failed or defective generations and for the beta-related limitations described above, and no further damages can be claimed for them. This does not affect your mandatory statutory rights as a consumer or the liability that cannot be excluded under Section 12.

Third-party AI providers. The Service does not run its own AI models end-to-end. Generation, stem separation, and related processing are performed through third-party API and infrastructure providers selected by Vokals. This means that the availability, behaviour, quality, and terms of specific features and models depend in part on those providers. If a provider changes, restricts, re-prices, or discontinues a model or API, we may need to modify, replace, or retire the corresponding feature, adjust Credit costs, or switch to an alternative provider — and we may need to update these Terms to reflect such upstream changes (see Section 15).

We may add, change, or retire features, models, and Credit costs of individual actions, including for the upstream reasons described above. If a change materially reduces the value of an active paid plan, we will notify you in advance and you may cancel with a pro-rata refund of any prepaid, unused period.

4. Free Trial

The Trial gives you a one-time allowance of Credits to evaluate the Service without payment details.

Trial Outputs are for evaluation only. You may generate and listen to Outputs during the Trial, but Trial Outputs are not downloadable and are not licensed for release, distribution, or any commercial use. If you later purchase a Subscription or Credit Pack, Outputs you generate under that paid plan are covered by Section 8.

We may modify or withdraw the Trial at any time and may limit Trials to one per person.

5. Subscriptions, Credit Packs, and payment

Pricing. Current prices are shown on the website at the time of purchase. Prices for consumers include VAT where required; prices shown "+ VAT" are directed at business customers.

Subscriptions renew automatically for successive periods until cancelled. Your monthly Credit allowance is added on each billing cycle. Monthly allowance Credits do not roll over: unused Credits from your monthly allowance expire at the end of the billing cycle in which they were granted and are not refunded or carried forward.

Credit Packs are one-time purchases. Credits in a Credit Pack are valid for the period stated at purchase (e.g. 6 months) and expire afterwards.

Credits have no monetary value, are not redeemable for cash, and are non-transferable. If your account is terminated for a material breach of these Terms, remaining Credits lapse without compensation, except where mandatory law provides otherwise.

Price changes. We may change Subscription prices with at least 30 days' notice before they take effect for you. If you do not accept a price increase, you may cancel before it takes effect.

Cancellation. You can cancel your Subscription at any time directly in your account settings — no email or phone call required. Cancellation takes effect at the end of the current paid period; you keep access and Credits until then.

6. Right of withdrawal (EU consumers)

If you are a consumer in the EU, you have the right to withdraw from a purchase within 14 days without giving a reason.

Subscriptions (digital service): if you withdraw within 14 days of purchase, we will refund you, minus a proportional amount for the period already elapsed and, where you have consumed Credits, a proportional amount for Credits used.

Credit Packs and top-ups (digital content/service delivered immediately): by purchasing, you request immediate delivery of the Credits. You acknowledge that once you begin spending Credits, you consent to immediate performance; if you withdraw within 14 days, we refund the unused portion of the Credits at the purchase rate.

To withdraw, email support@vokals.studio with a clear statement of withdrawal, or use the model withdrawal form available on request. Refunds are issued using your original payment method within 14 days.

7. Your Uploads

You retain all rights you hold in your Uploads.

By using the Service, you grant Vokals a limited, worldwide, non-exclusive license to host, store, reproduce, and process your Uploads solely to operate, provide, secure, and improve the Service — for example, to run generation jobs, store your projects, provide stem separation, and troubleshoot issues. This license ends when you delete the relevant content or your account, except for copies retained for backup, legal, or security purposes for a limited period.

We do not use your Uploads or Outputs to train our own AI models. However, the Service relies on third-party AI infrastructure and model providers to perform generation. Your Uploads and Outputs are transmitted to and processed by those providers to fulfil your requests, under their own terms and data practices, which we do not control and cannot fully audit. We select providers with care and contractually where possible restrict use of your data, but we cannot guarantee how upstream providers handle data beyond their published commitments. See our Privacy Policy for details on which providers we use and how data flows.

Your warranties. You confirm that:

  1. You own or have the necessary rights to your Uploads (including instrumentals, samples within them, and lyrics);
  2. Your Uploads do not infringe any third party's copyright, neighbouring rights, personality rights, or other rights;
  3. Your Uploads and your use of the Service comply with applicable law and Section 10 (Acceptable Use).

You are responsible for clearing any third-party rights in your Uploads. If your instrumental contains uncleared samples, generating a vocal on top of it does not clear them.

8. Outputs — ownership and license

You own your Outputs. Subject to your compliance with these Terms and payment of applicable fees, Vokals assigns to you all rights, title, and interest that Vokals holds in Outputs generated under an active Subscription or valid Credit Pack, effective upon generation. You may use, modify, distribute, publicly perform, monetize, and release such Outputs in your productions worldwide, royalty-free, without attribution to Vokals (attribution is appreciated but never required).

Please note:

  • Trial Outputs are excluded — they remain licensed for evaluation only (Section 4).
  • The assignment covers the rights Vokals holds. We cannot and do not assign or clear rights in material you supplied (your instrumental, your lyrics, third-party samples) — those remain governed by whatever rights you already have or need to obtain.
  • The legal status of AI-generated material varies by jurisdiction. In many countries, purely AI-generated audio may not qualify for copyright protection at all. We do not warrant that your Outputs are protectable, registrable with a collecting society, or free of third-party claims.
  • You are responsible for how you register and exploit works incorporating Outputs, including declarations to collecting societies (e.g. SABAM) and compliance with any AI-disclosure rules of distributors, DSPs, or societies.

Similarity. Generation is probabilistic. Outputs may resemble other users' outputs or existing recordings. We do not guarantee uniqueness or exclusivity of any Output.

9. Vokals' intellectual property

The Service — including software, models we operate, interface, branding, presets, and documentation — is owned by Vokals or its licensors. Apart from the rights expressly granted in these Terms, no rights are transferred to you. You may not copy, modify, reverse engineer, scrape, resell, or build a competing dataset or service from the Service, except where mandatory law permits.

10. Acceptable use

You may not use the Service to:

  1. Imitate or clone the voice of any identifiable real person (living or deceased) without documented consent, or present any Output as the performance of a real artist;
  2. Create content that is unlawful, defamatory, hateful, harassing, sexually exploitative of minors, or that incites violence;
  3. Infringe third-party rights, including uploading instrumentals, lyrics, or acapellas you do not have rights to;
  4. Mislead others about the origin of content, including releasing Outputs in a way that violates AI-disclosure obligations that apply to you;
  5. Circumvent Credit accounting, rate limits, or technical protections; share accounts; or access the Service by automated means without our written permission;
  6. Mass-generate content for training other AI models.

We may remove content, suspend generation, or suspend or terminate accounts that we reasonably believe violate this Section, where proportionate and, where feasible, after notice. You may contest such measures via support@vokals.studio.

11. Availability and support

We aim to keep the Service available and performant but do not guarantee uninterrupted availability. Maintenance, upstream provider outages, and other factors may cause downtime. Where a paid feature is unavailable for a significant continuous period due to circumstances within our control, contact us and we will look for a fair solution (such as Credit compensation).

12. Disclaimers and liability

To the extent permitted by law, the Service is provided "as is" and "as available".

Nothing in these Terms excludes or limits our liability for (a) intent or gross negligence, (b) death or personal injury caused by our fault, (c) fraud, or (d) any liability that cannot be excluded under mandatory law, including your statutory rights as a consumer regarding conformity of digital content and services.

Subject to the above, and for business customers to the fullest extent permitted: we are not liable for indirect or consequential damages, loss of profits, loss of data, or loss of business opportunity, and our total aggregate liability in connection with the Service is limited to the amounts you paid to Vokals in the 12 months preceding the event giving rise to the claim.

We are not liable for the acts or omissions of third-party infrastructure and model providers beyond our reasonable control, without prejudice to your statutory rights against us as your contracting party. For failed or defective generations during the beta phase, the automatic Credit refund described in Section 3 constitutes the sole remedy to the extent permitted by law.

13. Indemnification (business customers)

If you use the Service in the course of a business, you will indemnify Vokals against third-party claims arising from your Uploads or your use of Outputs in breach of these Terms. For consumers, this Section does not apply beyond your general liability under law.

14. Termination

You may stop using the Service and delete your account at any time. We may terminate or suspend your account for material breach of these Terms (with prior notice and an opportunity to remedy, where the breach is remediable), or discontinue the Service with at least 30 days' notice, in which case prepaid unused amounts will be refunded pro rata.

Sections that by their nature survive termination (including 8, 9, 12, 13, 15) survive. Ownership of Outputs validly generated under a paid plan is not affected by termination.

15. Changes to these Terms

We may amend these Terms for valid reasons, such as legal changes, new features, security, or changes imposed by the third-party API and model providers we rely on (for example, changes to their terms, licensing conditions, data practices, pricing, or the discontinuation of a model). We will give at least 30 days' notice of material changes by email or in-app. If you do not accept a material change, you may terminate before it takes effect; continued use after the effective date constitutes acceptance. The version applicable to a purchase is the version in force at the time of that purchase.

16. Governing law and disputes

These Terms are governed by Belgian law. If you are a consumer, you also enjoy the protection of mandatory provisions of the law of your country of residence.

Disputes will be submitted to the competent courts of Antwerp, Belgium; consumers may also bring proceedings in the courts of their own country of residence where the law so provides.

Consumers in Belgium may also contact the Consumer Mediation Service / Consumentenombudsdienst (https://mediationconsommateur.be) for out-of-court dispute resolution. We prefer to resolve issues directly — please contact support@vokals.studio first.

17. Miscellaneous

If any provision of these Terms is invalid, the remainder stays in force and the invalid provision is replaced by a valid one that best matches its intent. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to a successor of the business, with notice to you.
